LOI to Contract
How the SIJILMASA.com LOI Process Works
Every opportunity inside the private network follows the same documented pathway. Nothing advances until the step before it is complete.
The pathway, step by step
- 1
Introduction
A qualified participant is introduced to an opportunity inside the private network.
- 2
Letter of Intent (LOI)
The LOI identifies the buyer, seller, product, location, proposed timing, transaction purpose, commercial terms and intended process.
- 3
Review and acceptance
The LOI is reviewed. Accepted LOIs move forward; incomplete ones are returned for adjustment.
- 4
Identification and authority
Buyer and seller identification, digital ID documentation, corporate registration and authority of each representative.
- 5
Due diligence
Company and beneficial-ownership information, product and asset documentation, licences and chain of custody.
- 6
Financial and product proofs
Proof of funds or financial capability, and proof of product or ownership, where appropriate to the transaction.
- 7
Legal documentation
Legal review and preparation of contracts, NDAs, authorizations and scope documents by the parties' own counsel.
- 8
Inspection and assay
Inspection, assay and verification procedures appropriate to the commodity or asset.
- 9
Logistics and delivery
Booking, licensing, transport, security and delivery documentation.
- 10
Payment and closing
Payment, title transfer, delivery and closing, documented end to end.
What a Letter of Intent contains
- The buyer and the seller
- The product or asset
- Location and origin
- Quantity and specification
- Proposed timing
- Transaction purpose
- Commercial terms and pricing
- Payment and delivery terms
- The intended transaction process
An accepted LOI does not complete a transaction. It opens the reviewed pathway above, and each party remains responsible for its own legal, financial, inspection and compliance review.
